These Terms of Service ("Terms") govern your access to and use of the Prosolviz website at www.prosolviz.com and any content, information, or functionality we make available through it (the "Site"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. About these Terms

The Site is operated by Prosolviz, LLC ("Prosolviz," "we," "us," or "our"). These Terms apply to the informational Site only. Advisory engagements are governed by a separate written services agreement or statement of work, and use of the Prosolviz Works software at works.prosolviz.com is governed by its own agreement. Where a separate agreement conflicts with these Terms, the separate agreement controls for that engagement or product.

2. Our services

Prosolviz provides independent cybersecurity and governance, risk & compliance (GRC) advisory services, and offers the Prosolviz Works software. Content on the Site is provided for general information about our offerings. We may change, suspend, or discontinue any part of the Site at any time.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.

4. Acceptable use

You agree not to:

• use the Site for any unlawful, harmful, or fraudulent purpose;
• attempt to gain unauthorized access to, probe, scan, or test the vulnerability of the Site or any related systems, or breach security or authentication measures;
• interfere with or disrupt the Site, including by introducing malware or sending automated traffic that places undue load on it;
• copy, scrape, or harvest content or data except as expressly permitted; or
• misrepresent your identity or affiliation, or use the Site to harass or harm others.

5. Intellectual property

The Site and its content — including text, graphics, and the Prosolviz and Prosolviz Works names and logos (trademarks of Prosolviz, LLC) — are owned by Prosolviz or its licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your own informational use. You may not reproduce, distribute, modify, or create derivative works from the Site without our prior written permission, except as allowed by law.

6. Third-party services & links

The Site may link to or rely on third-party services (for example, our hosting and email providers, or works.prosolviz.com). We do not control and are not responsible for third-party sites or services, and your use of them is subject to their own terms.

7. No professional advice; no guarantee of results

Information on the Site is general and does not constitute professional, security, compliance, legal, or financial advice for your specific situation, and does not create an advisor–client relationship. Engaging us for services requires a separate signed agreement. We do not guarantee any particular outcome, and security, risk, and compliance work reduces risk but cannot eliminate it.

8. Disclaimers

The Site is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

9. Limitation of liability

To the fullest extent permitted by law, Prosolviz and its owners and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site. Our total liability for any claim relating to the Site will not exceed USD 100. This limitation does not apply to liability that cannot be limited under applicable law. Liability arising from an advisory engagement or from Prosolviz Works is governed by the applicable separate agreement.

10. Indemnification

You agree to indemnify and hold harmless Prosolviz from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Site or violation of these Terms, to the extent permitted by law.

11. Governing law & disputes

These Terms are governed by the laws of the State of Nebraska, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in the State of Nebraska have exclusive jurisdiction over any dispute relating to the Site, and you consent to their jurisdiction and venue, except where applicable law gives you the right to bring a claim elsewhere.

12. Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted; we will update the "Last updated" date. Your continued use of the Site after changes are posted means you accept the updated Terms.

13. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with any policies referenced in them (such as our Privacy Policy), are the entire agreement between you and Prosolviz regarding the Site. You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
